Case #1

Situation: A client who wanted to purchase $200 million dollars of real estate from a publicly traded company.

Work Performed: This can be an enormously complex situation. We performed due diligence then helped to structure the deal at the right price with no deferred costs. Consequently we were able to minimize taxes significantly.


Case #2

Situation: A rental real estate client who needed help with government-subsidized programs.

Work Performed: We reviewed the client's needs along with the type of government program they were interested in. These are usually not for profit structures that require planning and comprehensive analysis. We counseled them on how to receive maximum exposure to the governmental bodies while minimizing tax.


Case #3

Situation: Clients desired to convert non-liquid real estate valued in excess of $50 million into liquid publicly traded (NYSE) stock on a tax-free basis. The real estate was held in multiple partnerships with many partners.

Work Performed: Members of our Real Estate Group successfully analyzed and structured a complex UPREIT (Umbrella Partnership Real Estate Investment Trust) transaction providing the clients with units in partnership with a publicly traded (NYSE) REIT (Real Estate Investment Trust) providing tax deferral, tax indemnifications and liquidity.
